PROCEDURES OF REGISTRATION ON ISSUANCE
THE FOREIGN INVESTMENT CERTIFICATE
I. Body issuing Investment Certificate: People’s Committee of Hochiminh City
II. Body receiving files : Department of Planning and Investment - Division of Management of Foreign Invested Enterprise

III. Documents required :
* For cases associated with establishment of enterprise:
1. Written request for issuance of an Investment Certificate on the stipulated form (APPENDIX I-3 of Decision
No. 1088/2006/QD-BKH dated 19 October 2006);
2. Report on financial capability of the investor (which the investor shall prepare and for which the investor shall be liable);
3. Joint venture contract in the case of establishment of a joint venture economic organization between a domestic investor and a foreign investor Or Business co-operation contract in the case of the investment form of a business co- operation
contract. (With reference to Article 54 or 55 Decree 108/ND-CP dated 22 September 2006)
4. Legal documents concerning housing and land of the main office and place of implementing the projects (For checking)
5. Draft charter of the company (respectively to form of enterprises : Limited liabilities company with two or more members, One member limited liabilities company, Shareholding Company, Partnership, Business Cooperation Contract)
6. List of members (APPENDIX I-8, I-9 and I-10 of Decision No.
1088/2006/QD-BKH dated 19 October 2006) and the following attached documents:
- With respect to members being an individual, a copy of people’s identity card, of passport or other lawful personal identification;
-With respect to members being a foreign organization, a copy of the establishment decision or business registration certificate or other equivalent document a copy of the business registration certificate (notarized or copy certified by Vietnamese competent agencies or foreign consular officers in Vietnam within three months before the date of submission of the business registration documents), power of attorney, people's identity card, of passport or other lawful personal identification of the authorized representative.
7. Document of an authorized body or organization certifying the legal capital in respect of enterprises conducting lines of business for which legal capital is required by law.
8. Practicing certificates of the director or general director and other individuals in respect of enterprise conducting lines of business for which a practicing certificate is required by law.
* For cases associated with establishment of branch:
1. Written request for issuance of an Investment Certificate on the stipulated form (APPENDIX I-2 of Decision
No. 1088/2006/QD-BKH dated 19 October 2006);
2. Report on financial capability of the investor (which the investor shall prepare and for which the investor shall be liable);
3. Legal documents concerning housing and land of the branch office and place of implementing the projects (For checking)
4. A copy of the establishment decision or business registration certificate or other equivalent document a copy of the business registration certificate (notarized or copy certified by Vietnamese competent agencies or foreign consular officers in Vietnam within three months before the date of submission of the business registration documents), power of attorney, people's identity card, of passport or other lawful personal identification of the authorized representative.
* For cases not associated with establishment of enterprise or branch:
1. Written request for issuance of an Investment Certificate on the stipulated form (APPENDIX I-1 of Decision

4. Explanatory statement on the ability to satisfy conditions which the investment project must satisfy (in the case of projects in sectors in which investment is conditional stipulated in article 29 of the Law on Investment and in Appendix III issued with Decree 108/ND-CP dated 22 September 2006)
5.
